Undivided Share of Land (UDS) is the most important and least understood part of apartment ownership in Karnataka. When you buy a flat in a Bangalore apartment building, you do not own a marked piece of ground. You own your apartment unit and a fractional, undivided share in the land beneath the whole building. That share is your UDS. It turns a flat into real property with a lasting land interest, instead of a right to occupy a structure that will age.

This guide explains what UDS means, how to calculate it, why it matters for resale, loans, tax and redevelopment, and which documents you must check before you pay a builder or seller.

What Does UDS Mean in Apartment Ownership?

The land under a multi-storey building cannot be split into separate plots for each flat owner. All owners hold it together as co-owners, and each owner holds a fraction of the whole. The share is called undivided because no owner can point to a demarcated portion of the land and call it their own. Every owner has an interest in every part of the land, in proportion to their fraction.

In Karnataka, this arrangement comes from the Karnataka Apartment Ownership Act, 1972 (KAOA). Under the Act, the builder or owner of the building registers a Declaration. The Declaration describes each apartment and states the undivided interest that goes with it in the land and common areas. Your sale deed should then repeat that share for your flat.

UDS is what remains of value if the building is demolished or becomes unfit for use. The structure depreciates with age. The land does not. In most Bangalore localities, land values rise over time, so your UDS is the part of your flat that holds and grows value.

How Is UDS Calculated for Apartments in Bangalore?

UDS follows a proportion. Your flat's area is divided by the total saleable area of the project, and the result is multiplied by the total land area. The table below uses a project with 50 flats and 50,000 sq ft of total saleable area on 5,000 sq ft of land.

Element

Description

Example

Total land area

The entire land parcel on which the project is built

5,000 sq ft

Total saleable area

Sum of all flat areas, using one area basis for every flat. This includes your flat.

50,000 sq ft

Your flat area

The area of your apartment on the same basis

1,200 sq ft

UDS formula

Your flat area / total saleable area x total land area

1,200 / 50,000 x 5,000 = 120 sq ft

UDS as a fraction

UDS divided by total land area

120 / 5,000 = 2.4% of the land

Entry in sale deed

Stated as a specific area, in sq ft or sq mt

120 sq ft undivided share of land

Area basis matters less than consistency. Builders use carpet area, built-up area or super built-up area as the base. Any of them works if the same base applies to every flat in the project. A mix of bases produces unfair shares, where some owners hold more land per sq ft of flat than others. Compare your UDS with the formula and with the figures for other flats in the project.

Why Does UDS Matter Legally for Flat Owners?

  1. Proof of land ownership. The UDS clause in your sale deed is the document that shows you own an interest in land. A deed that describes only the flat leaves your title incomplete.
  2. Redevelopment rights. When an old building is demolished and rebuilt, each owner's entitlement in the new project follows their UDS, subject to the agreement between the association and the developer. Owners with a larger UDS receive proportionately more built area.
  3. Home loan security. A bank takes a mortgage over the flat and its UDS together. A deed with no clear UDS is weaker security, and lenders often raise queries or reject the file.
  4. Resale value. Buyers and their advocates check for a clear UDS. A missing or doubtful UDS lowers the price you can ask and slows the sale.
  5. Tax treatment. The cost of acquisition of a flat has a land portion and a building portion. The split affects how you compute capital gains when you sell.
  6. Conveyance to the association. Under RERA, the promoter must execute a registered conveyance deed in favour of the association within three months of the occupancy certificate. The association then holds the common areas for all owners in proportion to their shares.

How Does UDS Work in a Redevelopment? A Worked Example

Take the project above. You hold 120 sq ft out of 5,000 sq ft of land, which is 2.4%. Suppose the owners agree to redevelop the site and the new building offers 80,000 sq ft of built area to the existing owners. A share based purely on UDS gives you 2.4% of 80,000 sq ft, which is 1,920 sq ft.

This is an illustration only. The final area depends on the redevelopment agreement, the developer's terms and the approvals granted. The point is that UDS is the starting measure. An owner with a poorly recorded UDS enters that negotiation with a weaker position.

Which Documents Should You Check to Verify UDS?

Check UDS before you sign the agreement to sell, not after registration. The table below lists the documents and what each should show.

Document

What to check

Red flag

Sale deed

UDS stated in sq ft or sq mt, with the land schedule and boundaries

Only the flat is described and no UDS appears

KAOA Declaration

UDS or percentage interest for each apartment

Your deed shows a different figure

Agreement to sell

The UDS promised before registration

Vague wording such as proportionate share only

Sanctioned plan and land schedule

Total land area and total built area

Total land differs from the deed schedule

Conveyance deed

Transfer of common areas and land to the association

Not executed after the occupancy certificate

Khata and tax records

Land and building entries match the deed

Entries stand in the builder's name only

Encumbrance certificate

No mortgage or charge over the land or your flat

Entries for loans on the whole land parcel

What Are the Common UDS Problems in Bangalore Projects?

UDS missing from the sale deed. Some builders, mostly in older and smaller projects, register deeds that describe only the flat. Insist that the deed states your UDS before you register.

Shares that do not add up. The UDS of all flats should total the land assigned to the apartment owners. When the figures fall short, the builder may have kept land aside for commercial use or future sale without telling buyers. An advocate should check the total across the project.

Mismatch with the Declaration. If your deed and the registered Declaration show different shares, the difference must be corrected through a rectification or supplementary deed before it causes a dispute.

Split sale structure. Some builders sell the land share under one deed and the construction under a separate agreement. This is a recognised structure, but both documents must be read together to understand your full title.

Frequently Asked Questions: UDS in Karnataka Apartments

Why is UDS important when buying a flat in Bangalore?

UDS is your share of the land on which the building stands. The building depreciates as concrete, steel and fittings age, but the land beneath it keeps and often gains value. Without a clear UDS, you hold only the built structure and not a land interest. This affects four things: your entitlement in a redevelopment, your resale value, your home loan eligibility, and your capital gains computation. A flat sale deed that omits UDS is legally incomplete and exposes you to disputes.

How much UDS should a 1,000 sq ft flat have in Bangalore?

There is no fixed figure, because UDS depends on the project and not on your flat alone. Take a project with 20,000 sq ft of total saleable area on 2,000 sq ft of land. A 1,000 sq ft flat there carries UDS of 1,000 / 20,000 x 2,000 = 100 sq ft. The same flat in a project with more land per unit of built area would carry a higher UDS. What matters is that the formula is applied the same way to every flat and that your deed records the correct figure.

Does a larger flat carry a larger UDS?

Yes. UDS is proportionate to your flat's area compared with the total saleable area of the project. If your flat is 2,000 sq ft and the other flats are 1,000 sq ft, your UDS is about twice theirs, provided the builder used one area basis for all units. You can check this by comparing your sale deed with the KAOA Declaration or with the deeds of other owners in the same project.

Can a flat owner sell the UDS separately from the apartment?

No. UDS is an inseparable part of the flat. You cannot sell the land share to one person and the apartment to another. Any sale, gift, or inheritance of the apartment carries the UDS with it. The principle sits at the base of apartment ownership under the KAOA. Only unusual redevelopment arrangements, drawn up with legal advice, treat land and building rights differently.

Can UDS be mortgaged separately from the flat in Karnataka?

In theory an undivided share of land can be mortgaged on its own. In a normal home loan, banks take a mortgage over the apartment and its UDS together, and the sale deed that conveys both is the security document. Banks do not usually accept a mortgage of only the building or only the land share. If your deed lacks a clear UDS, the bank may refuse the loan or ask for a corrective deed first.

What is a conveyance deed, and how does it relate to UDS?

A conveyance deed is the registered document by which the promoter transfers title to the common areas and the proportionate land to the association of owners. Until it is executed, the promoter may still hold title to those parts even though individual flat deeds are registered. RERA requires the promoter to execute the conveyance within three months of the occupancy certificate. The conveyance does not change your individual UDS. It places the land with the association, which holds it for all owners in proportion to their shares.

How does UDS affect capital gains tax when I sell my flat?

Your cost of acquisition covers both the land share and the building. When you sell, the gain is computed on the whole property, and the land and building portions can be treated separately. Land is a long-term capital asset if held for more than 24 months. The rules on rate and indexation changed for sales on or after 23 July 2024, and the choice available depends on when you bought the property. Since the land share is usually the part that appreciates most, record the land and building values at purchase. Consult a Chartered Accountant for the exact computation.

What happens to UDS in a mixed-use project with shops or offices?

In a project with flats and commercial units, the builder may keep or sell the commercial portion separately. The UDS of residential owners is then based on the land attributed to the residential portion and the residential saleable area. Commercial buyers have their own UDS in the commercial land. The Declaration, sanctioned plan and land schedule should state the total land, the residential and commercial portions, and the method used for each. Unclear division is a red flag, so get it resolved in writing before you buy.

What if the builder never registered the KAOA Declaration?

Many older buildings in Bangalore never had a Declaration registered. Each owner still holds the UDS stated in their sale deed. However, the association may not be properly constituted, the land may never have been conveyed to it, and common area management is often informal. The association can ask the builder to execute the Declaration, or it can approach the civil court for a declaration of co-ownership. Many buyers still transact in such buildings, but only after a legal review of the deeds and the title chain.

What should I do if the UDS in my sale deed differs from the Declaration or the builder's brochure?

Do not ignore the gap. Write to the builder and ask for the basis of the figure, then compare your deed with the registered Declaration and the sanctioned plan. If the deed is wrong, ask for a rectification deed before you complete registration or take a loan. If you have already registered, the correction should be made by a registered supplementary deed signed by the builder. Brochure figures have no legal force on their own, so rely on the registered documents.

Frequently Asked Questions

What is Undivided Share of Land (UDS) in Bangalore? ▾

UDS is the fractional share of the total land parcel owned by an apartment buyer. While you own your specific flat unit, the land beneath the entire building is owned collectively by all residents in proportion to their flat sizes.

How is UDS calculated for an apartment unit? ▾

The calculation is done by dividing your individual flat area by the total saleable area of the entire project, then multiplying that result by the total land area. It is vital that the same area basis, such as carpet or super built-up area, is used for all units to ensure fair distribution.

Why is UDS critical for apartment redevelopment? ▾

UDS serves as the primary measure for determining an owner's entitlement when an old building is demolished and rebuilt. Owners with a larger recorded land share typically receive a proportionately larger built area in the new project during negotiations.

What happens if UDS is missing from a sale deed? ▾

A sale deed that omits the UDS is considered legally incomplete and results in a weaker title. This can lead to home loan rejections, lower resale values, and significant disputes during property redevelopment or building demolition.
